1. About these terms

These Terms of Service govern your access to and use of NorthStar, including its website, applications, connected services and related features.

By creating an account or using NorthStar, you agree to these terms.

If you do not agree, you must not use the service.

2. About NorthStar

NorthStar is a personal planning and reflection service designed to help users connect areas such as:

  • Dreams and ambitions
  • Focus areas
  • Goals
  • Habits
  • Milestones and countdowns
  • Tasks, notes and reminders
  • Journaling and reflection
  • Calendar commitments
  • AI-assisted planning and summaries

NorthStar is a planning and organisational tool. It does not guarantee that any goal, outcome, habit, plan or recommendation will be achieved.

3. Closed-alpha service

NorthStar is currently in closed alpha.

During this phase:

  • Access is invitation-only
  • Features may be incomplete, experimental or unavailable
  • Information structures may change
  • Data may occasionally need to be migrated
  • Errors, interruptions and unexpected behaviour may occur
  • Features may be introduced, changed or removed
  • Access may be suspended or withdrawn for testing, security or operational reasons
  • The service is not yet intended for business-critical, medical, legal, financial, safety-critical or emergency use

We will take reasonable care when operating the service, but closed-alpha users acknowledge that the product remains under active development.

4. Eligibility and accounts

You must be at least 18 years old to use NorthStar during closed alpha.

You must:

  • Provide accurate account information
  • Keep your login credentials secure
  • Not allow another person to use your account
  • Notify us promptly if you suspect unauthorised access
  • Keep your contact information reasonably current

You are responsible for activity carried out through your account unless it results from a failure of NorthStar to use reasonable care.

We may refuse, suspend or revoke closed-alpha access where reasonably necessary.

5. Acceptable use

You must not use NorthStar:

  • Unlawfully or fraudulently
  • To harm, threaten, harass or exploit another person
  • To store or distribute unlawful material
  • To infringe intellectual-property, privacy or other rights
  • To introduce malware or harmful code
  • To bypass access controls or security measures
  • To probe, scan or test the service without written permission
  • To access another user’s account or information
  • To scrape, harvest or extract information at scale
  • To interfere with the operation of NorthStar
  • To reverse engineer the service except where the law expressly permits it
  • To resell or commercially exploit the service without written permission
  • To use AI features to generate unlawful, abusive or harmful material
  • To upload information that you do not have the right to use

We may investigate suspected misuse and take proportionate action, including suspending access.

6. Your content

You retain ownership of content you add to NorthStar.

You grant Coal Face AI Ltd a limited, non-exclusive licence to host, copy, process, transmit and display your content only to the extent necessary to:

  • Operate NorthStar
  • Provide features you request
  • Secure and maintain the service
  • Create backups
  • Resolve technical problems
  • Comply with law

This licence ends when the content is deleted, except where limited copies remain temporarily in backups or must be retained by law.

You are responsible for ensuring that:

  • You have the right to add the content
  • The content is lawful
  • The content does not infringe another person’s rights
  • You do not unnecessarily enter highly sensitive information

7. NorthStar intellectual property

NorthStar, including its software, branding, design, interfaces, content and underlying technology, is owned by or licensed to Coal Face AI Ltd.

These terms give you a limited, personal, revocable, non-exclusive and non-transferable right to use NorthStar in accordance with these terms.

They do not transfer ownership of NorthStar or its intellectual property to you.

Feedback and suggestions may be used to improve NorthStar without an obligation to compensate you. We will not treat feedback as confidential unless agreed otherwise in writing.

8. Connected calendars

NorthStar may allow you to connect an external calendar.

By connecting a calendar, you authorise NorthStar to access the information covered by the permissions shown during the connection process.

For Google Calendar:

  • NorthStar requests read-only calendar access
  • NorthStar does not use the connection to create, edit or delete Google Calendar events
  • External calendar information remains governed by the relevant third-party service
  • NorthStar-owned notes, tasks, goals, links and reflections are stored separately
  • You may disconnect the calendar through NorthStar settings
  • You may also revoke access through your Google Account

Calendar synchronisation may not always be immediate or complete. Recurring events, cancellations, third-party changes, provider outages and API limits may affect what appears in NorthStar.

You should continue to rely on the source calendar for definitive event information.

9. AI-powered features

NorthStar may provide AI-generated:

  • Briefs
  • Suggestions
  • Summaries
  • Priorities
  • Next actions
  • Planning prompts
  • Reflections or insights

AI output is generated automatically and may be:

  • Incorrect
  • Incomplete
  • Out of date
  • Repetitive
  • Unsuitable for your circumstances

You remain responsible for reviewing AI output and deciding whether to act on it.

AI content is not professional medical, mental-health, legal, financial, investment, employment, safeguarding or emergency advice.

You must seek an appropriately qualified professional where professional advice is required.

You should not rely on NorthStar where an error could cause death, personal injury, serious financial loss or another significant harm.

10. Health, wellbeing and personal information

NorthStar may allow you to record habits, reflections or information relating to your general wellbeing.

NorthStar is not a healthcare service, diagnostic tool or substitute for professional care.

Do not use NorthStar to seek urgent or emergency assistance.

You control what you enter and should avoid storing information where you are not comfortable with it being processed by an online service.

11. Availability and changes

We aim to provide a reliable service but do not guarantee that NorthStar will always be available, uninterrupted or error-free.

We may:

  • Perform maintenance
  • Change technical infrastructure
  • Add, modify or remove features
  • Restrict a feature where necessary for security or compliance
  • Apply reasonable usage limits
  • Suspend the service where necessary

Where practical, we will provide notice of material changes that adversely affect users.

12. Third-party services

NorthStar may depend on or integrate with third-party services, including calendar providers, hosting providers, authentication services and AI providers.

Third-party services:

  • May have their own terms and privacy policies
  • May change or discontinue their services
  • May experience outages
  • Are not controlled by NorthStar

We are not responsible for a third-party service’s independent acts or omissions, but this does not affect any legal responsibility NorthStar cannot exclude.

13. Subscriptions and payments

NorthStar is currently provided to invited closed-alpha testers without a paid subscription unless separately agreed.

Before paid plans are introduced, we will provide clear information about:

  • Prices
  • Billing intervals
  • Included features
  • Usage limits
  • Renewal arrangements
  • Cancellation rights
  • Refund arrangements
  • Any free trial

Paid terms will be presented before a user is charged.

Nothing in these terms removes rights provided by applicable consumer law.

14. Ending your use of NorthStar

You may stop using NorthStar at any time.

You may request account deletion by emailing:

We may suspend or terminate access where:

  • You materially breach these terms
  • Your use creates a security or legal risk
  • You misuse the service
  • Closed-alpha access is withdrawn
  • We discontinue NorthStar
  • We are required to do so by law

Where appropriate, we will provide notice and a reasonable opportunity to remedy a breach.

15. Data export and deletion

NorthStar may introduce self-service export and deletion tools before public launch.

During closed alpha, requests for access, export or deletion can be sent to:

Some information may need to be retained for security, legal, dispute-resolution or backup purposes.

16. Our responsibility to you

Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Breach of your statutory consumer rights
  • Any other liability that cannot legally be excluded

NorthStar is intended as a personal planning and organisational tool.

To the extent permitted by law, Coal Face AI Ltd is not responsible for losses that:

  • Were not reasonably foreseeable when you agreed to these terms
  • Result from your failure to follow reasonable instructions
  • Result from inaccurate information supplied by you
  • Arise from decisions made solely on the basis of AI-generated content
  • Result from a third-party service outside our reasonable control
  • Relate to business use where NorthStar is supplied for personal use

Where you use NorthStar as a consumer, your statutory rights remain unaffected.

We do not exclude responsibility where a failure by NorthStar to use reasonable care causes loss or damage.

17. Events outside our reasonable control

We are not responsible for delay or failure caused by events outside our reasonable control, such as:

  • Internet or telecommunications failures
  • Power outages
  • Provider outages
  • Cyberattacks
  • Government action
  • Natural disasters
  • Labour disputes
  • Changes to third-party APIs
  • Failure of external calendar providers

We will take reasonable steps to reduce the effect of such events.

19. Changes to these terms

We may update these terms as NorthStar develops.

Where a change is material, we will provide reasonable notice through the service, by email or another appropriate method.

The latest terms will always be available at:

https://northstarlife.app/terms

Continuing to use NorthStar after updated terms take effect means the updated terms apply, except where the law requires a different form of agreement.

20. Governing law

These terms are governed by the laws of England and Wales.

If you are a consumer living elsewhere in the United Kingdom, you retain the benefit of any mandatory protections and may be entitled to bring proceedings in the courts of the part of the United Kingdom where you live.

21. General provisions

If part of these terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply.

A delay in enforcing these terms does not waive the right to enforce them later.

You may not transfer your rights under these terms without our permission.

We may transfer our rights and obligations where this does not reduce your legal protections.

These terms, together with the Privacy Policy and any plan-specific terms, form the agreement between you and Coal Face AI Ltd concerning NorthStar.
